OCI to Sell Interest in Its Ammonia Business

Wedoany.com Report-Nov. 25, OCI Global, headquartered in Amsterdam, the Netherlands, has signed an agreement to sell 100 percent of its equity interests in OCI Ammonia Holding B.V. (OCI AH) to AGROFERT, a.s., a major European nitrogen products manufacturer, for a total consideration of €290 million.

OCI AH owns two key assets: OCI Terminal Europoort B.V. (OTE), an ammonia import and storage terminal located in Rotterdam, and OCI Ammonia Distribution B.V. (OAD), the company's platform for distributing ammonia to third-party customers across Europe.

The transaction is scheduled to close in the first half of 2026, subject to customary regulatory approvals, standard closing conditions, and approval by OCI N.V. shareholders at an upcoming extraordinary general meeting.

Following completion, OCI Nitrogen (OCIN), the company's production facility in Geleen, will retain uninterrupted access to the Rotterdam terminal through an existing throughput agreement, preserving supply chain flexibility for its ammonia requirements.

OCI Global stated that it continues to review strategic alternatives for its Geleen production site and will provide further updates to the market at the appropriate time.

The divestment allows OCI Global to streamline its European downstream operations while maintaining operational continuity at its remaining assets and focusing resources on core production and global growth priorities.
